§1 General Provisions

1. These Terms and Conditions define the rules for using the website spinly.rent, the Spinly mobile application, the user account, and the electric bike rental services provided by Spinly.

2. The owner of the website and the service provider is Yaroslav Bulba, conducting business under the name Spinly.

3. The Service Provider may be contacted by email at: info@spinly.rent.

4. The Website and the Application enable, in particular, reviewing the offer, creating an account, submitting a rental application, managing a rental, payments, documents, support, notifications, and account deletion requests.

5. These Terms and Conditions constitute regulations for the provision of electronic services within the meaning of the Polish Act on the Provision of Electronic Services and set out the basic terms for using Spinly services.

§2 Definitions

Website - the website available at spinly.rent.

Application - the Spinly mobile application used to manage the account, rental application, payments, documents, support, and notifications.

Service Provider or Spinly - Yaroslav Bulba, conducting business under the name Spinly.

User - a person using the Website or the Application.

Renter - a User who submits a rental application, enters into a Rental Agreement, or uses a bike under an agreement.

Account - the User account in the Application or the Spinly system.

Rental - the rental service for an electric bike, battery, accessories, or related services.

Rental Application - a User request concerning the conclusion or commencement of a rental.

Rental Plan - the selected pricing variant or billing period indicated in the current offer, price list, or Application.

Security Deposit - an amount securing Spinly claims related to the rental.

Payment Processor - an external payment provider, in particular Stripe.

Recurring Subscription - recurring settlement of rental fees in accordance with the selected plan.

Rental Agreement - a document or set of documents defining the detailed rental terms, generated or provided by Spinly.

Digital Signature in the Application - a signature or confirmation submitted electronically in the Application to accept rental documents.

Administrative Panel - the system used by Spinly to manage users, applications, rentals, payments, support, service, and settlements.

Notifications - email, push, or in-Application messages concerning the account, rental, payments, documents, support, or security.

§3 Scope of Electronic Services

1. The Website and the Application enable, in particular:

2. Electronic services are provided electronically, and the rental service concerns a physical electric bike and related services.

3. Creating an account, sending a form, or submitting an application does not automatically mean that a rental has commenced. The rental begins in accordance with the process indicated by Spinly, in particular after the application is accepted, required payments are settled, documents are signed, and the rental is activated.

  • completing the profile and data required for verification
  • submitting a rental application
  • selecting a plan, bike, battery, or accessories, where available
  • paying the Security Deposit and adding a payment method
  • signing rental documents in the Application
  • managing an active rental and payment history
  • contacting support through the form, email, or support in the Application
  • receiving email, push, or in-Application notifications
  • submitting an account deletion request

§4 Technical Conditions for Using the Website

In order to use the Website, the following are required:

  • a device with internet access
  • a web browser
  • an active email account or other required contact channel

§5 Contact Form

1. The form allows the User to submit an enquiry regarding bike rental.

2. The User is required to provide truthful data.

§6 Account, Profile, and Verification

1. Creating an account and logging in are required to use selected Application features, in particular to submit a rental application.

2. The User is required to provide data that is true, current, and belongs to the User, and must not make the account available to third parties.

3. Spinly may require identification, contact, and address data, including first and last name, email address, phone number, city, address, postal code, apartment number, date of birth, PESEL number, identity document number, and a photo of the identity document.

4. The data referred to above may be required to verify identity, assess the application, conclude and perform the Rental Agreement, protect property, prevent abuse, and pursue or defend against claims.

5. Refusal to provide data required to conclude or perform an agreement may prevent creation of an active rental or use of certain Application features.

6. If the Application provides Google sign-in on Android devices or another external sign-in mechanism, use of that method may also be subject to the rules of the relevant provider.

§7 Basic Rental Terms

1. The rental price, minimum rental period, Security Deposit amount, fees for the battery, accessories, and other charges are indicated in the current offer, price list, Application, or agreement before the rental begins.

2. Rental is available within the area indicated by Spinly in the current offer or agreement.

3. The rental process may include selecting a plan, submitting an application, verifying data, paying or settling the Security Deposit, adding a payment method, assigning a bike, generating and signing documents, activating the rental, recurring billing of fees, returning the bike, verifying the condition of the bike, and settling the Security Deposit.

4. The Security Deposit secures Spinly claims related to the rental, in particular damage to, loss of, or failure to return the bike, missing accessories, overdue payments, repair costs, additional fees, or other amounts due under the agreement.

5. If the Spinly system shows an available Security Deposit balance from a previous rental, Spinly may allow it to be used for a subsequent application in accordance with the current settlement rules.

6. Sub-renting the bike or making it available to third parties without Spinly consent is prohibited.

7. The Renter undertakes to use the bike in accordance with its intended purpose, applicable law, safety instructions, the agreement, and the price list.

8. The detailed terms of a given rental are specified in the Rental Agreement, current offer, price list, and information presented in the Application.

§8 Payments, Stripe, and Recurring Subscriptions

1. Payments in Spinly are handled by the external payment processor Stripe. Spinly does not store full payment card data.

2. The User may be asked to add and save a payment method in Stripe in order to collect the Security Deposit, rental fees, Recurring Subscription fees, additional fees, overdue amounts, or other amounts due in connection with the rental.

3. Adding a payment method may involve authorization or saving the card for future charges, including charges made without the User being present again in the payment session, if this follows from the selected plan, agreement, or outstanding amounts.

4. After the rental is activated, recurring fees may be charged automatically in accordance with the selected plan until the rental is ended, cancelled, or settled.

5. Payments made in Spinly relate to the physical electric bike rental service, the Security Deposit, accessories, additional fees, or settlements connected with that rental. The Application does not sell digital content or digital features consumed in the Application.

§9 Failed Payments and Rental Suspension

1. In the event of a failed payment, Spinly may inform the User in the Application, by email, or by push notification.

2. The User should promptly update the payment method or pay the amount due in the manner indicated by Spinly.

3. Non-payment may result in the rental being marked as having a payment issue, limitation or suspension of the rental, refusal of another rental, deduction of amounts due from the Security Deposit, charging amounts in accordance with the agreement, and pursuing claims.

4. Spinly may withhold actions dependent on full payment settlement, including returning the Security Deposit or deleting the account, to the extent permitted by law and necessary to settle obligations.

§10 Returns, Deductions, and Security Deposit Settlement

1. The Security Deposit is returned after the rental ends, the bike is returned, and Spinly verifies its condition, accessories, and settlements.

2. Spinly may deduct from the Security Deposit amounts due under the rental, in particular overdue fees, repair costs, the cost of missing accessories, damages, loss of the bike, additional fees, or other justified claims.

3. The Security Deposit may be returned in full, returned in part, or refused to the extent of justified amounts due.

4. Payment refunds may be processed through Stripe to the payment method used for the transaction, provided the Payment Processor allows such a refund.

5. Spinly may document the condition of the bike, accessories, and Security Deposit settlement using checklists, photos, service notes, payment history, and records in the Administrative Panel.

§11 Agreements and Digital Signatures in the Application

1. Rental documents may be generated, signed, stored, and made available electronically.

2. A signature submitted in the Application or another electronic confirmation of acceptance serves to confirm acceptance of the documents, rental terms, and data presented to the User.

3. The User should review documents before signing them and report any discrepancies to Spinly before the rental begins.

4. Signed documents, PDF files, acceptance history, document identifiers, and technical confirmations may be stored by Spinly as evidence of conclusion and performance of the agreement and settlement of claims.

5. The User may receive access to documents in the Application or through another agreed channel, unless technical, security, or legal restrictions prevent it.

§12 User Responsibility

The User undertakes to:

  • use the Website in accordance with the law
  • not provide unlawful content
  • not interfere with the operation of the Website
  • provide truthful data

§13 Service Provider Liability

Spinly makes efforts to ensure that the Website functions properly.

Spinly is not liable for:

  • technical interruptions
  • problems resulting from the operation of the internet network
  • lack of bike availability
  • User errors

§14 Complaints

The User may submit complaints by email to: info@spinly.rent.

Complaints will be reviewed within a reasonable time.

§15 Support in the Application and Notifications

1. The User may contact Spinly by email, form, Application, or other channels indicated by Spinly.

2. Support in the Application may allow messages, photos, and other attachments concerning the account, rental, bike, payments, return, complaint, or technical issues to be sent.

3. Spinly may send email notifications, push notifications, or in-Application messages concerning the account, application, agreement, payments, rental, return, support, security, or organizational changes.

4. Push notifications require the device system permission and may be disabled in the device or Application settings, if the Application provides such a setting.

5. Spinly should not include in push notification content information exceeding what is necessary to notify the User about the relevant matter.

§16 Intellectual Property

Content available on the Website is the property of Spinly or is used in accordance with the law.

Copying content without permission is prohibited.

§17 Personal Data

The rules for processing Personal Data, including account data, profile data, identity documents, PESEL, payments, agreements, signatures, support, notifications, logs, and account deletion, are set out in the Spinly Privacy Policy and GDPR information clauses.

§18 Changes to the Terms and Conditions

Spinly may amend these Terms and Conditions in the event of:

  • changes in law
  • technological changes
  • changes in Website or Application functionality

§19 Account Deletion

1. The User may submit an account deletion request in the Application or through another channel indicated by Spinly.

2. Account deletion may be temporarily impossible or performed to a limited extent if there is an active rental, active or unsettled application, overdue payment, unsettled Security Deposit, open support case, legal obligation, accounting obligation, tax obligation, abuse prevention need, or need to pursue or defend against claims.

3. After successful account deletion, Spinly deletes or anonymizes profile data to the extent technically and legally possible and may delete selected profile files.

4. Data concerning agreements, signatures, payments, refunds, invoices, rental history, support, audit logs, claims, and legal obligations may be retained for the required period despite account deletion.

5. Detailed information about data that is deleted, anonymized, and retained is provided in the Privacy Policy or dedicated account deletion information.

§20 Final Provisions

These Terms and Conditions are governed by Polish law.
